Terms of service
The agreement between your organisation and ours. Plain wording, ordinary commercial terms, nothing buried.

This agreement
These terms form a binding agreement between FieldNiq ("we", "us") and the organisation that subscribes to FieldNiq ("you", "your organisation"). By subscribing, paying, or using the service, you accept them.
If you are accepting on behalf of a company, you confirm you are authorised to bind it.

Definitions
- "Service" — the FieldNiq web admin panel, the mobile applications, and the APIs connecting them.
- "Authorised User" — an employee or contractor of your organisation to whom you issue an account.
- "Your Data" — everything you or your Authorised Users enter into or generate through the Service.

Accounts and eligibility
- You must be a business entity or a person conducting business, and at least 18 years old.
- You are responsible for everything done under your accounts, including by your Authorised Users.
- Keep credentials confidential and tell us promptly if you suspect unauthorised access.
- Each Authorised User account is bound to a single device. Releasing that binding is an administrator action and is recorded.
- Accounts are for named individuals. Sharing one account between several people is not permitted.

Subscription and billing
- Pricing is a flat monthly or annual fee per organisation, in Indian rupees, with a seat allowance included in each plan.
- If your active user count exceeds the allowance, the additional per-seat charge for your plan applies for that billing period.
- Payment is collected through Razorpay by UPI, card or net banking. A GST invoice is issued for every payment.
- Subscriptions renew automatically at the end of each billing period at the then-current rate for your plan, unless cancelled beforehand.
- Founder pricing, where granted, is held for the life of the subscription and is not raised when list prices rise. It ends if the subscription lapses.
- We may revise list prices with at least 30 days' notice by email. The new price applies from your next renewal.
- Fees are exclusive of taxes; applicable GST is added and shown on the invoice.

Cancellation and refunds
- Monthly subscriptions may be cancelled at any time before the next billing date. You keep access until the end of the period already paid for, and are not billed again.
- Annual subscriptions may be cancelled, which stops renewal, but the fee for the current year is not refunded.
- We do not pro-rate refunds for partial periods, unused seats, or downgrades taken mid-period.
- If we terminate your subscription for a reason other than your breach of these terms, we refund the unused portion of any prepaid fee.

Acceptable use
You may not:
- Use the Service to break any law, or to collect data you have no lawful basis to collect.
- Attempt to access another organisation's data, probe our systems, or circumvent authentication, rate limits or device binding.
- Resell, sublicense or offer the Service to third parties as your own without a written agreement with us.
- Reverse-engineer the Service, or copy its design or content, except as permitted by law.
- Upload malware, or content that is unlawful, defamatory or infringing.
- Falsify location data, or assist an Authorised User in doing so.

Your obligations on employee monitoring
This clause is a condition of using the Service. Read it before you deploy the app.
FieldNiq records employee location, working hours and activity. You — not we — decide to do this, and you carry the legal responsibility for it.
You confirm that you will:
- Inform every Authorised User, before they begin using the app, what is recorded, when, and for what purpose.
- Obtain any consent required under applicable law, and honour any withdrawal of it.
- Restrict collection to working hours and legitimate business purposes.
- Comply with all applicable labour, employment and data protection law, including the Digital Personal Data Protection Act, 2023.
- Handle access, correction and deletion requests from your own employees, as the Data Fiduciary for their data.
You indemnify us against any claim brought by an Authorised User, a regulator or a third party arising from your failure to meet these obligations.

Your data
- Your Data belongs to you. We claim no ownership of it.
- You grant us a limited licence to host, process, transmit and display Your Data solely to operate the Service for you, and to comply with law.
- You can export your data from the admin panel at any time while the subscription is active.
- We may use aggregated, de-identified statistics that cannot identify you, your employees or your customers, to operate and improve the Service.
- Our handling of personal data is governed by the Privacy Policy, which forms part of these terms.

Availability and support
- We aim to keep the Service available at all times but do not guarantee uninterrupted operation, and we offer no contractual uptime commitment unless one is agreed in writing.
- We may take the Service down for planned maintenance, and will give reasonable notice where practical.
- Support is provided by email during Indian business hours.
- Features described as offline-capable queue data on the device and sync when connectivity returns. Data that has not yet synced when a device is lost or wiped cannot be recovered.

Third-party services
The Service depends on third parties including a payment gateway, mapping and navigation applications, mobile app stores, and cloud hosting. Their availability is outside our control, and their own terms apply to your use of them. We are not liable for their acts, omissions or outages.

Intellectual property
The Service, its software, design, documentation and the FieldNiq name and marks belong to us. Subscribing gives you a non-exclusive, non-transferable right to use the Service during your subscription. Nothing else is granted.
Feedback you send us may be used without obligation or payment.

Confidentiality
Each party may receive information the other treats as confidential. Neither will disclose it to anyone else except to staff and contractors who need it and are bound by equivalent obligations, or where the law requires disclosure. This obligation survives termination by three years.

Warranties and disclaimers
We warrant that we will provide the Service with reasonable skill and care.
Beyond that, and to the extent the law allows, the Service is provided "as is". We do not warrant that it will be error-free, that GPS readings will always be accurate, or that it will meet every requirement you have.
GPS accuracy depends on the device, the network and the environment. Verification decisions made by the Service are evidence to be considered, not proof. You are responsible for any employment or disciplinary decision you take, and for reviewing the underlying records before acting on them.

Limitation of liability
To the maximum extent permitted by law:
- Neither party is liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill or anticipated savings.
- Our total aggregate liability arising out of or relating to these terms is limited to the fees you paid us in the 12 months immediately before the event giving rise to the claim.
Nothing in these terms limits liability for fraud, wilful misconduct, or anything else that cannot be limited under Indian law.

Suspension and termination
- You may cancel at any time as described in clause 5.
- We may suspend access without notice if your account is being used unlawfully, threatens the security or stability of the Service, or payment has failed and remains unpaid after notice.
- We may terminate for material breach that is not remedied within 30 days of written notice.
- On termination, access ends and your data is retained for 90 days for export before deletion, as set out in the Privacy Policy.

Changes to these terms
We may amend these terms. For material changes we will give at least 30 days' notice by email to the administrator on the account. Continuing to use the Service after the change takes effect means you accept the revised terms. If you do not, you may cancel before they take effect.

Governing law and jurisdiction
These terms are governed by the laws of India. The courts at [CITY, STATE] have exclusive jurisdiction, and both parties submit to it.
Before starting proceedings, both parties agree to attempt to resolve the dispute in good faith by discussion for 30 days.

General
- These terms, together with the Privacy Policy and your order details, are the entire agreement between us on this subject.
- If a clause is held unenforceable, the rest stands.
- Failure to enforce a right is not a waiver of it.
- You may not assign this agreement without our written consent. We may assign it to a successor of our business.
- Neither party is liable for failure to perform caused by events beyond its reasonable control.
